By accessing or using NanoReel ("Service," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

NanoReel provides a lightweight video widget service that allows you to embed interactive video content on your website. The Service includes widget customization, analytics, and performance optimization features.

3. Account Registration

3.1 Account Creation

To use certain features of the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain and update your information to keep it accurate
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access
  • Accept responsibility for all activities under your account

3.2 Account Eligibility

You must be at least 18 years old and have the legal capacity to enter into contracts. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

4. Subscription Plans and Pricing

4.1 Free Plan

The free plan includes limited features with usage restrictions as described on our pricing page. We may modify or discontinue the free plan at any time.

4.2 Paid Plans

Paid plans are billed according to the pricing and billing cycle you select. Prices are subject to change with 30 days notice. You are responsible for all charges incurred under your account.

4.3 Lifetime Deal

Lifetime Deal purchases grant you access to the Service for the lifetime of the product, subject to these Terms. "Lifetime" refers to the operational lifetime of NanoReel as a service, not your personal lifetime. We reserve the right to discontinue the Service with reasonable notice.

4.4 Payment Terms

  • All payments are processed through third-party payment providers
  • You authorize us to charge your payment method for all fees
  • Fees are non-refundable except as required by law or as explicitly stated
  • Failed payments may result in service suspension or termination

5. Acceptable Use Policy

5.1 Prohibited Activities

You agree not to use the Service to:

  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights of others
  • Distribute malware, viruses, or harmful code
  • Engage in fraudulent or deceptive practices

  • Your content does not violate any third-party rights
  • Your content complies with all applicable laws

NanoReel and all related trademarks, logos, and service marks are owned by us. The Service, including its code, design, and documentation, is protected by copyright and other intellectual property laws.

You retain ownership of your content. By using the Service, you grant us a limited, non-exclusive, worldwide license to host, store, and display your content solely for the purpose of providing the Service.

If you provide feedback or suggestions about the Service, we may use such feedback without any obligation to you.

7. Service Availability and Modifications

7.1 Uptime

We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be unavailable due to maintenance, updates, or circumstances beyond our control.

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice. We will not be liable for any modification, suspension, or discontinuation.

8. Data and Privacy

10.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

11. Indemnification

You agree to indemnify, defend, and hold harmless NanoReel and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including legal fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your content uploaded to or displayed through the Service

12. Dispute Resolution

12.1 Informal Resolution

If you have a dispute with us, you agree to first contact us at nanoreel.team@gmail.com to attempt to resolve the issue informally.

12.2 Arbitration

If informal resolution fails, disputes will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except as modified by these Terms.

12.3 Class Action Waiver

You agree that disputes will be resolved on an individual basis and waive any right to participate in a class action lawsuit or class-wide arbitration.
